Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, public catalogs, import tools, accounts, reports, application programming interfaces, Model Context Protocol interfaces, and other services provided by Fintora Technologies, Inc., doing business as Tandom.ai (“Tandom.ai,” “Tandom,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

1. The Services

The Services may include:

• Public HTS and AD/CVD catalogs, regulatory-source pages, and educational material.
• A tariff calculator, AD/CVD lookup, reports, alerts, and other import-research tools.
• User accounts, saved work, account features, authenticated REST API access, MCP access, and approved bulk-access workflows.
• Buyer-side industrial sourcing and supplier-development services, including requirements definition, manufacturer screening, quotation and evidence comparison, sample coordination, and first-order preparation when separately agreed in writing.

We may add, modify, suspend, or discontinue features. Separate order forms, proposals, statements of work, or service agreements may apply to paid or project-based work. If a separate written agreement conflicts with these Terms, that agreement controls for the covered work.

2. Eligibility, Accounts, and Credentials

You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate account information, keep it current, protect passwords and API keys, and notify us promptly of suspected unauthorized access. You are responsible for activity performed through your account or credentials and for ensuring that your users have appropriate authority.

Accounts and credentials are personal to the authorized user or organization. You may not sell, share, or transfer them except through team or delegation features we expressly provide.

3. Public Tools, Catalogs, and Regulatory Information

Tool results, catalog pages, summaries, estimated duties and fees, possible AD/CVD associations, and regulatory alerts are provided for general informational and research purposes. They do not constitute legal, tax, customs-brokerage, accounting, financial, or other professional advice. They are not a binding ruling or determination by U.S. Customs and Border Protection, the U.S. Department of Commerce, any court, or another authority.

HTS classification, origin, scope, exclusions, trade-program eligibility, entry treatment, and other import determinations depend on facts that a tool or catalog may not contain. An HTS association alone does not establish that an AD/CVD order applies. Estimates may omit freight, insurance, warehousing, taxes, brokerage, commercial costs, or other amounts unless expressly shown. Regulatory sources may change or be corrected without notice.

You are responsible for reviewing cited primary sources, verifying inputs and outputs, and obtaining advice from a licensed customs broker, trade attorney, tax adviser, or other qualified professional when appropriate. You remain responsible for import, purchasing, compliance, and commercial decisions.

4. Free-Tool Allowances and Sign-In

Public catalog pages may be viewed without an account, subject to these Terms and reasonable access controls. As of the date above, an anonymous browser may receive up to five distinct successful tariff calculator results and one distinct successful AD/CVD lookup result before sign-in is required. Repeated identical inputs may be treated as the same use, while a changed input may count separately. A run initiated from a catalog or other prefilled entry point may count once the tool processes the result.

Allowances, eligibility rules, and free features may change. You may not clear, rotate, or manipulate browser identifiers, accounts, IP addresses, or other signals to evade an allowance, gate, quota, or rate limit.

5. API, MCP, and Automated Access

Programmatic use must occur through an interface we make available for that purpose and must comply with its authentication, documentation, scope, quota, and rate-limit requirements. You are responsible for applications, agents, users, and systems operating under your credentials.

Publicly accessible web pages are not an authorization for bulk scraping, high-volume extraction, circumvention of technical controls, or republishing a substantial portion of our catalogs or derived content. Contact us for approved bulk, API, MCP, integration, or redistribution access.

6. Sourcing-Project Requests and Engagements

Submitting a sourcing-project form, scheduling a call, or discussing a project does not require Tandom.ai to accept the work and does not create a paid engagement, agency, fiduciary relationship, or authority for Tandom.ai to bind you. The scope, deliverables, timing, fees, outreach authority, and responsibilities for project work must be agreed in a separate written proposal, order form, statement of work, or service agreement.

You are responsible for the completeness and accuracy of product requirements, specifications, volumes, approvals, and commercial instructions you provide. Prospective manufacturers and other third parties supply their own representations, documents, samples, quotes, certifications, capacity information, and timelines. Unless a separate written agreement expressly states otherwise, Tandom.ai does not warrant third-party information or guarantee that a supplier will be approved, a purchase order will be placed, or a target cost, quality level, lead time, or delivery date will be met.

Unless expressly agreed in writing, Tandom.ai is not the importer of record, customs broker, freight forwarder, attorney, tax adviser, laboratory, inspection company, or your agent with authority to enter contracts on your behalf.

7. Your Content and Instructions

You retain ownership of information, files, specifications, feedback, and other content you submit (“Your Content”). You grant Tandom.ai a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, analyze, and disclose Your Content as reasonably necessary to provide, secure, support, and improve the Services and to perform an agreed engagement.

You represent that you have the rights and permissions required to provide Your Content and authorize its processing. Do not submit export-controlled, classified, health, financial-account, payment- card, government-identification, or other highly sensitive personal information unless we have expressly agreed in writing to receive it through an approved channel.

8. Acceptable Use

You must comply with our Acceptable Use Policy, which is incorporated into these Terms. You may not use the Services unlawfully, interfere with their operation, access data or systems without authorization, introduce malicious code, infringe third-party rights, or help another person do so.

9. Fees, Billing, and Taxes

Some Services are free and others require payment. Prices, billing periods, included usage, and payment terms are those presented at checkout or in the applicable written agreement. You authorize our payment provider to charge the payment method you provide for fees and applicable taxes. Except where required by law or stated in the applicable agreement, payments are nonrefundable.

Project-based sourcing work is billed only under the applicable written proposal, order form, statement of work, or service agreement. Free import tools do not by themselves create a paid sourcing engagement.

10. Tandom.ai Intellectual Property

The Services, including software, interfaces, design, documentation, compilation and organization of content, and Tandom-created material, are owned by Tandom.ai or its licensors and are protected by law. These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

Government publications and other third-party materials remain the property of their respective sources. “Tandom.ai,” “Tandom,” and associated logos are marks of Fintora Technologies Inc., d/b/a Tandom.ai. You may not use them without prior written permission.

11. Confidentiality

Each party will use reasonable care to protect the other party's non-public information that is identified as confidential or should reasonably be understood as confidential, and will use it only for the relationship contemplated by the Services. These obligations do not apply to information that is public through no breach, already known without restriction, independently developed, or lawfully received from another source. A party may disclose information when legally required after providing notice when legally permitted. Separate confidentiality terms control if they conflict with this section.

12. Third-Party Services and Content

The Services may rely on or link to government sources, payment processors, authentication providers, AI services, manufacturers, logistics providers, and other third parties. We do not control and are not responsible for third-party sites, services, availability, acts, omissions, policies, or content. Your use of a third-party service may be governed by separate terms.

13. Service Availability and Changes

The Services may be unavailable because of maintenance, data-source changes, provider outages, security events, or circumstances beyond our control. We do not guarantee a service level unless a separate written agreement expressly provides one. We may correct, update, remove, or change content, results, features, and access rules at any time.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Tandom.ai disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and results. We do not warrant that the Services, data, results, suppliers, or third-party content will be accurate, complete, current, uninterrupted, secure, or error-free.

15. Limitation of Liability

To the maximum extent permitted by law, Tandom.ai and its officers, directors, employees, agents, affiliates, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, savings, data, goodwill, business opportunities, production, or use, arising from or relating to the Services, even if advised of the possibility.

To the maximum extent permitted by law, Tandom.ai's aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of one hundred U.S. dollars or the amount you paid Tandom.ai for the specific Service giving rise to the claim during the twelve months before the event giving rise to liability. A separate written agreement may state a different limitation for the covered work.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Tandom.ai and its officers, directors, employees, agents, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from Your Content, your use of the Services, your breach of these Terms, or your violation of law or third-party rights.

17. Suspension, Termination, and Account Deletion

You may stop using the Services at any time and may use available account controls to request deletion. We may limit, suspend, or terminate access if we reasonably believe you violated these Terms, created risk or harm, failed to pay fees, exceeded or evaded access controls, or if suspension is required by law or a provider.

Termination does not eliminate accrued payment obligations. Sections that by their nature should survive will survive, including sections concerning ownership, confidentiality, disclaimers, liability, indemnification, disputes, and general provisions.

18. Governing Law and Courts

These Terms are governed by Delaware law, without regard to its conflict-of-laws rules. Except where applicable law requires otherwise, disputes arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.

19. General Provisions

• These Terms, the Acceptable Use Policy, and any applicable written agreement are the entire agreement concerning the covered Services.
• If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue.
• You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.
• Failure to enforce a provision is not a waiver. Headings are for convenience only. Electronic notices and records satisfy writing requirements to the extent permitted by law.

20. Changes to These Terms

We may update these Terms by posting the revised version and updating the “Last updated” date. We will provide additional notice of material changes when required by law. Continued use after revised Terms take effect constitutes acceptance.
